AuthRequest may use the Contributions for any purposes whatsoever, including but not limited to, developing, manufacturing, and marketing products or services incorporating such Contributions.

    Acceptable Content

    Content Standards:

    Users may submit content such as feedback, comments, messages, and other materials ("User Content") through various functionalities of AuthRequest. Users must ensure that all User Content complies with the following standards:

  • Must be accurate (where it states facts).
  • Must be genuinely held (where it states opinions).

    AuthRequest prohibits the submission of User Content that:

  • Involves commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising, without our prior written consent.
  • Gives the impression that it emanates from or is endorsed by us or any other person or entity, if this is not the case.
  • Enforcement and Monitoring:

    AuthRequest reserves the right to review any User Content and to remove any content that, in our sole discretion, violates these guidelines or any applicable law, or could harm the reputation of the service.

    Users may be held liable for any illegal or prohibited User Content they provide, including among other things, infringing on the intellectual or proprietary rights of others, engaging in fraudulent, defamatory, or deceptive practices.

    We also reserve the right to take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the AuthRequest service.

    Reporting Infringements:

    If you believe that any content violates your copyright, other intellectual property rights, or these content standards, please contact us directly to report the issue. We will investigate the situations reported and take appropriate action as needed to address the situation.

    Representation and Warranties:

    Unlawful Use:

    Obscene Material: You may not post or transmit through the service any material that is defamatory, obscene, pornographic, abusive, or otherwise objectionable.

    False Information: Spreading misinformation, creating fake profiles, or otherwise lying about your affiliation with a person or entity is not allowed.

    Consequences of Termination:

    User Initiated Termination:

    Outcome of Appeal:

    Final Decision: After reviewing the appeal, AuthRequest will communicate the final decision to the user via email. This decision is final and binding. The possible outcomes of an appeal may include reinstatement of the account, modification of the suspension duration, or confirmation of the original decision.

    Communication: All decisions will be communicated to the appellant in writing, detailing the reasons behind the decision and, if applicable, any conditions attached to the reinstatement of the account.

    Further Actions Post-Appeal:

    Reinstatement: If the appeal is successful and the account is reinstated, any specific conditions or modifications to the account status will be clearly communicated to the user.

    Continued Suspension or Termination: If the appeal upholds the original decision, the user will be informed of the reasons and any further steps they may take if they have additional information that could impact the decision.

    Record of Appeals:

    Documentation: AuthRequest will keep a record of all appeals and their outcomes for legal and compliance purposes.

    Confidentiality: All appeal proceedings will be handled confidentially, respecting the privacy of the involved parties.

    Disclaimers and Limitations of Liability Section for AuthRequest Terms and Conditions

    Disclaimer of Warranties:

    Limitation of Liability:

    General Limitation: To the fullest extent permitted by applicable law, AuthRequest, its affiliates, officers, directors, employees, agents, suppliers, or licensors will not be liable for (a) any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the service; (b) any conduct or content of any third party on the service; (c) any content obtained from the service; and (d) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if AuthRequest has been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

    Cap on Liability: AuthRequest's total liability to you from all causes of action and under all theories of liability will be limited to the amount you paid for the AuthRequest service or, if you have not had any payment obligations to AuthRequest, $100.00.

    Exclusions:

    Applicable Law Exclusions: Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.

    User Responsibilities:

    Risk Acknowledgment: By using AuthRequest, you acknowledge and agree that the inherent risks of electronic communication can lead to delays, failures, and inaccuracies in the data provided. You agree to assume full responsibility for these risks.

    Third Party Products and Services:

    No Responsibility: AuthRequest is not responsible for the products or services provided by third parties, even if they are linked to or from our service. Any dealings you have with third parties found while using the service are between you and the third party, and you agree that AuthRequest is not liable for any loss or claim that you may have against any third party.

    Binding Arbitration:

    Agreement to Arbitrate: If the dispute cannot be resolved through mediation, it shall be resolved by binding arbitration administered by a neutral, independent arbitrator.

    Procedure: The arbitration will be conducted in the jurisdiction where AuthRequest is headquartered, unless you and AuthRequest agree otherwise. The rules of the arbitration will be established by the arbitration body selected, which typically will be a recognized provider of dispute resolution services.

    Costs: The costs of the arbitration, including administrative fees, professional fees, and arbitrator fees, will be shared equally by the parties unless the arbitrator decides otherwise. Each party is responsible for its own attorney fees and additional costs.

    Frivolous Claims: In cases where the arbitration is deemed frivolous or without merit by the arbitrator, the party initiating the arbitration will be responsible for all arbitration costs.

    Limitation on Liability:

    Maximum Liability: Except as expressly provided in this Agreement, the maximum liability of either party to the other under any and all circumstances for any claim related to this Agreement, whether for breach of contract, warranty, negligence, strict liability in tort, or otherwise, shall be limited to the lesser of $500 CAD or the amount paid by the customer for the purchase of products or services under this agreement over the last 12 months.

    Exclusions from Limitations:

    Excluded Damages: In no event shall either party be liable to the other for any indirect, special, incidental, punitive, or consequential damages, including but not limited to, loss of profits, data, revenue, business opportunities, or business advantages, even if the possibility of such damages was known or should have been known.

    Exceptions to Cap:

    Non-Capable Liabilities: The limitations set forth in this clause shall not apply to liabilities arising from gross negligence, willful misconduct, or death or bodily injury caused directly by the negligent acts or omissions of the parties.

    Acknowledgment:

    Fair and Reasonable: The parties acknowledge that the limitations and exclusions contained in this clause and in this Agreement are agreed upon by both parties and are fair and reasonable in light of the circumstances surrounding the agreement, including the context in which the transactions take place and the pricing and allocation of risk.

    Frivolous Claims Clause

    Definition of Frivolous Claim:

    A frivolous claim is defined as any claim brought by a party that lacks a reasonable basis in law or fact, fails to state a claim upon which relief can be granted, or is not supported by any credible evidence at the time of filing.

    Consequences:

    Immediate Review and Dismissal: Upon filing, all claims will be subject to an initial review by a designated legal officer or an agreed third-party arbitrator to assess their validity. Claims determined to be frivolous will be subject to immediate dismissal.

    Liability for Costs: Any party that files a frivolous claim shall be liable for all costs incurred by the other party in defending against such claim, including reasonable attorneys' fees.

    Additional Sanctions: The party filing a frivolous claim may also be subject to additional sanctions, including but not limited to fines, restrictions on future filings, and other penalties as deemed appropriate by the arbitrator or court.

    Procedure for Handling Claims of Frivolous Nature:

    Filing a Motion: The accused party may file a motion for the claim to be declared frivolous.

    Burden of Proof: The burden of demonstrating that a claim is not frivolous rests with the claimant.

    Determination and Enforcement: A determination that a claim is frivolous will be made by the arbitrator or judge overseeing the dispute, and any sanctions or costs will be enforced according to the legal standards of the jurisdiction in which the arbitration or litigation is taking place.

    Modification and Waiver:

    No Waiver: The failure to enforce this clause at any time or in any instance shall not be construed as a waiver of this clause or any part thereof.

    Modification: Any modification to this clause must be made in writing and signed by both parties, agreeing to the modification.

    Binding Decision:

    Finality of Award: The decision of the arbitrator shall be final and binding, and no party shall have the right to litigate that decision in court or have a jury trial on that decision.

    Class Action Waiver:

    Waiver of Class Proceedings: You agree to resolve any disputes with AuthRequest on an individual basis, and you waive any right to participate in class actions, collective actions, private attorney general actions, or other representative proceedings of any kind.

    Exceptions to Arbitration:

    Exclusion from Small Claims Court:

    Arbitration Requirement: Notwithstanding any other provision in this agreement, any dispute, claim, or controversy arising out of or relating to this agreement or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration. This excludes any option of litigation in small claims court, regardless of the nature or amount of the claim.

    Mandatory Arbitration: All disputes between the parties, regardless of their nature or the amount in controversy, shall be resolved solely by binding arbitration, and not in any state, federal, or local court or agency.

    Injunctive Relief: Notwithstanding the above, AuthRequest may seek injunctive or other equitable relief to protect its intellectual property rights in any court of competent jurisdiction.

    Governing Law:

    Applicable Law: The dispute resolution process will be governed by the laws of the jurisdiction where AuthRequest is incorporated, without regard to its conflict of law principles.

    International Compliance and Multi-Jurisdictional Use Compliance with Local Laws:

    AuthRequest is based in Canada, and while it operates globally, users are responsible for ensuring that their use of AuthRequest complies with all local, state, national, and international laws applicable to them. This includes but is not limited to laws relating to privacy, data protection, and electronic communications. Users should only engage with the service if such engagement is permitted under the laws of their jurisdiction.

    International Data Transfers:

    Due to the global nature of our operations and the services provided by AuthRequest, personal information collected may be stored and processed in any country where we maintain facilities or engage service providers. Given the international scope of our services, cross-border data transfers are essential and unavoidable. By usingAuthRequest, you acknowledge and consent to the transfer of your information outside your country of residence, to jurisdictions which may have different data protection standards than those in your country.

    AuthRequest commits to uphold the highest corporate standards reasonably achievable in protecting your data. This includes taking all necessary measures to ensure that the data transferred is adequately protected in compliance with applicable data protection laws. Such measures may include entering into appropriate data transfer agreements, implementing standard contractual clauses as approved by regulatory bodies, and adopting other means to provide an adequate level of data protection as required by relevant laws.

    Export Control:

    The service may be subject to international export control laws and regulations, which restrict exports and re-exports to certain countries. Each user is responsible for complying with these laws and regulations and will not, directly or indirectly, export, re-export, or transfer the AuthRequest services to prohibited countries or individuals or permit use of the AuthRequest services by prohibited countries or individuals.

    Modifications in Response to Legal Requirements:

    AuthRequest reserves the right to modify the service or terms of use to comply with applicable local laws. In such cases, the modifications will be made known to the users through updates to the terms on theAuthRequest website or through other appropriate communication channels.

    Cooperation with Authorities:

    AuthRequest may be required to respond to requests from court orders, legal process, or governmental regulations, affecting users from specific jurisdictions. You acknowledge and agree that we may disclose information to authorities if required by law, without providing notice to you.

  • This International Compliance and Multi-Jurisdictional Use clause is designed to clarify the responsibilities of both AuthRequest and its users when accessing the service from various international locations. It is the user's responsibility to ensure that they remain compliant with all local laws and regulations, particularly concerning data privacy and communications.

    General Provisions Section for AuthRequest Terms and Conditions Entire Agreement:

    Superseding Effect: These Terms and Conditions constitute the entire agreement between you and AuthRequest regarding the use of the AuthRequest service, superseding any prior agreements between you and AuthRequest concerning your use of the service. No Waiver: The failure of AuthRequest to exercise or enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

    Severability:

    Restriction on Transfer: You may not assign or transfer these Terms, by operation of law or otherwise, without AuthRequest's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void.

    Assignment by AuthRequest: AuthRequest may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

    Exemption for Force Majeure: Neither party shall be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond such party's reasonable control, including, but not limited to, mechanical, electronic, or communications failure or degradation.

    Survival:

    Continued Effect: The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. These Terms are effective unless and until terminated by either you or AuthRequest.
